Item 5.02 Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers

(b) On March 4, 2024, Mark D. Burish, a member the Board of Directors (“Board”) of Sonic Foundry, Inc. (“the Company”) since March 2010, and its current non-executive chair, notified the Company of his intention to resign from the Board of Directors effective immediately. Mr. Burish’s decision was not related to any disagreement with the Company on any matter relating to the Company’s operations, policies or practices.

Joe Mozden, Jr., CEO, said, “on behalf of the Board, I want to say its been an honor to work with Mark on the Board and we thank him for his leadership.”
