(1)Consists of 2,731,075 shares of Common Stock issuable to Mr. Tzuo upon exercise of outstanding stock options that are exercisable within 60 days of December 31, 2021, including 2,211,285 shares of Class B Common Stock and 519,790 shares of Class A Common Stock issuable under such options.

(2)Each share of Class B Common Stock is convertible at any time into one share of Class A Common Stock.

(3)Consists of (i) 7,006,809 shares of Class B Common Stock held of record by the 70 Thirty Trust, of which Mr. Tzuo and his spouse are co-trustees, and (ii) 640,542 shares of Class B Common Stock held of record by The Next Left Trust, of which Mr. Tzuo is a co-trustee.

The denominator of this calculation consists of (A) 117,959,370 shares of Class A Common Stock outstanding as of December 31, 2021, and (B) the number of shares of Class A and Class B Common Stock beneficially owned by Mr. Tzuo, which consists of (i) 7,647,351 shares of Class B Common Stock, and (ii) 519,790 shares of Class A Common Stock and 2,211,285 shares of Class B Common Stock issuable upon exercise of outstanding stock options that are exercisable within 60 days of December 31, 2021, held by Mr. Tzuo. Shares of Class B Common Stock beneficially owned by Mr. Tzuo are treated as converted to Class A Common Stock for the purpose of computing the percentage ownership of Mr. Tzuo.

(6)Each share of Class A Common Stock is entitled to one vote, and each share of Class B Common Stock is entitled to ten votes. There were 9,052,043 shares of Class B Common Stock outstanding as of December 31, 2021, including 7,647,351 shares of Class B Common Stock beneficially owned by Mr. Tzuo. The Company has two classes of common stock outstanding, Class A Common Stock and Class B Common Stock. The rights of the holders of Class A Common Stock and Class B Common Stock are identical, except with respect to voting and conversion. Each share of Class B Common Stock has ten votes and each share of Class A Common Stock has one vote. Assuming full conversion of all currently outstanding Class B Common Stock into Class A Common Stock, the 10,378,426 shares beneficially owned by the Reporting Person would represent 8.00% of the total Common Stock outstanding.
