Explanation of Responses:

1. Each restricted stock unit represents a contingent right to receive one share of the issuer's Class A Common Stock.

2. One-third of the restricted stock units vest on August 24, 2022, and one-third will vest on the 12-month anniversary thereof each year until vested in full.

3. The restricted stock units will vest in full on the earlier of (a) August 24, 2022 or (b) the date immediately prior to the next annual meeting of the issuer's stockholders occurring after the date of grant.
