Explanation of Responses:

1. Shares were acquired pursuant to Katapult Holdings, Inc's (the "Issuer") initial business combination in exchange for shares of the legacy Katapult Holdings, Inc. entity that were owned by Curo Financial Technologies Corp. prior to the Closing.

2. Includes earn out shares granted in connection with the Issuer's initial business combination, subject to certain vesting provisions.

3. Shares held by CURO Financial Technologies Corp. Mr. Masto is a director of CURO Group Holdings Corp., which owns 100% of the equity of CURO Financial Technologies Corp. and who may share voting or dispositive power over such shares. Mr. Masto disclaims any beneficial ownership of the reported shares other than to the extent of any pecuniary interest he may have therein, directly or indirectly.
