Explanation of Responses:

1. 693,207 option shares shall vest over a four-year period as follows: (i) 1/4 of such option shares shall vest on the one year anniversary of December 1, 2020 and (ii) 1/48 of such option shares shall vest at the end of each calendar month thereafter, in each case subject to the reporting person's continued employment with Katapult Holdings, Inc. or its affiliate (the "Issuer") as of any applicable vesting date. 346,603 option shares (the "Initially Vested Shares") shall vest if certain performance criteria is met by the reporting person during the first twenty-four months of the reporting person's employment with the Issuer. The remaining 346,603 option shares shall vest after the Initially Vested Shares have vested and if certain other performance criteria is met by the reporting person during the first twenty-four months of the reporting person's employment with the Issuer.
