Explanation of Responses:

1. The reported transactions involve an amendment of an outstanding option to reduce the exercise price by $2.599553 per share, resulting in the deemed cancellation of the "old" option with respect to those shares and the grant of a replacement option. The option was originally granted on July 11, 2023 and provides for vesting in three equal annual installments beginning on the first anniversary of the grant date.

2. The reported transactions involve an amendment of an outstanding option to reduce the option exercise price by $2.599553 per share, resulting in the deemed cancellation of the "old" option with respect to those shares and the grant of a replacement option. The option was originally granted on April 17, 2024 and provides for vesting in three equal annual installments beginning on the first anniversary of the grant date.
