This Amendment No. 1 amends the Schedule 13G filed on November 26, 2025 to report additional shares of Class A Common Stock ("Common Shares") of FAT Brands, Inc. ("Issuer") acquired by Mr. Seemab. The percentages in this filing are based on 16,668,520 shares of Class A Common Stock as of November 7, 2025 as reported in the Issuer's Form 10Q for the quarter ended September 28, 2025. In addition to the Common Shares, Mr. Seemab also owns 382,155 shares of Series B Cumulative Preferred Stock ("Preferred Shares") of the Issuer. The number of Common Shares and Preferred Shares reported in this filing are as of February 6, 2026. According to documents filed by the Issuer, the holders of the Preferred Shares as a group are entitled to elect two directors of the Issuer if the Issuer is in default of 18 or more monthly dividend payments. To the best knowledge of the reporting person, the Issuer is in default of ten monthly payments as of the date of this filing. Consequently, the Preferred Shares currently are non-voting securities.
