Explanation of Responses:

1. The stock option, granted in lieu of the annual equity award under the Issuer's Amended and Restated Non-Employee Director Compensation Policy, vests in full on the earlier of (A) December 28, 2024, the one-year anniversary of the grant date, or (B) immediately prior to the next annual meeting of the Issuer's stockholders, subject to the Reporting Person continuing to provide services to the Issuer through such vesting date.
