Item 5.02. Departure of Directors or Certain Officers;

On November 29, 2022, Gina R. Boswell notified the Company that due to her recent appointment as Chief Executive Officer of Bath & Body Works, she was resigning from the Company’s Board of Directors, effective December 31, 2022. Ms. Boswell indicated that her decision to resign was not a result of any disagreement with the Company on any matter relating to the Company’s operations, policies or practices.
