Item 8.01. Other Events.

On July 7, 2023, Belong Acquisition Corp. (the “Company”) issued a press release announcing that it will redeem all of its outstanding shares of Class A common stock that were included in the units issued in its initial public offering (the “Class A Common Stock”), effective as of the close of business on July 27, 2023, as the Company will not consummate an initial business combination within the time period required by the Company’s charter. A copy of the press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference.

The Company expects that the last day of trading of the Class A Common Stock and its units on the Nasdaq stock market will be July 26, 2023, following which the Company expects that Nasdaq will file a Form 25 with the SEC to delist its securities. The Company thereafter expects to file a Form 15 with the SEC to terminate the registration of its securities under the Securities and Exchange Act of 1934, as amended.
