Item 8.01. Other Events.

On July 25, 2023, Belong Acquisition Corp. (the “Company”) issued a press release announcing that, in connection with its previously-announced trust account liquidation, the Company will redeem all of its outstanding shares of Class A common stock that were included in the units issued in its initial public offering (the “Class A Common Stock”), effective as of the close of business on July 27, 2023, for a redemption amount of approximately $10.23 per share. A copy of the press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference.

The Company expects that the last day of trading of the Class A Common Stock and its units on the Nasdaq stock market will be July 26, 2023, following which the Company expects that Nasdaq will file a Form 25 with the SEC to delist its securities. The Company thereafter expects to file a Form 15 with the SEC to terminate the registration of its securities under the Securities and Exchange Act of 1934, as amended.
