By virtue of the relationships described herein, the Reporting Persons may be deemed to constitute a “group” within the meaning of Rule 13d-5 under the Exchange Act. The filing of this Schedule 13D shall not be construed as an admission that the Reporting Persons beneficially own those securities held by another member of such group. In addition, each Reporting Person expressly disclaims beneficial ownership of any securities reported herein except to the extent such Reporting Person actually exercises voting or dispositive power with respect to such securities.

(c) Other than as reported in Amendments No. 7 and 8, the Reporting Persons have not effected any transactions in securities of the Issuer during the past 60 days.

Item 6. Contracts, Arrangements, Understandings or Relationships With Respect to Securities of the Issuer.

This Item 6 of the Schedule 13D is amended and supplemented as follows:

On September 5, 2024, Mudrick Capital Management, L.P., on behalf of the funds, investors, entities or accounts managed, sponsored or advised by it, as applicable (“MCM Noteholders”) that hold the 8.00% / 9.50% Convertible Senior Secured PIK Toggle Notes due 2027 (the “Convertible Notes”), entered into a letter agreement (the “Forbearance Agreement”) with the Issuer. Pursuant to the Forbearance Agreement, the MCM Noteholders agreed to forbear from exercising certain rights under the Indenture following the occurrence of a Fundamental Change (as defined under the Indenture) upon the Issuer’s delisting from the New York Stock Exchange on August 16, 2024, including the MCM Noteholders’ rights to require the Issuer to repurchase their Convertible Notes and related rights and remedies as set forth in the Forbearance Agreement.
