Explanation of Responses:

1. The restricted stock units vest in one installment on May 5, 2027, subject to the reporting person's continued employment.

2. 13.33% of the option shares are exercisable at $2.11 per share; 20% of the option shares are exercisable at $2.47 per share; 26.67% of the option shares are exercisable at $2.82 per share; and 40% of the option shares are exercisable at $3.18 per share.

3. The option becomes exercisable in one installment on May 5, 2027, subject to the reporting person's continued employment.
