Other Events.

On March 15, 2022, Zebra Technologies Corporation, a Delaware corporation (“Zebra”), issued a press release announcing the entry into a Share Purchase Agreement, by and among Zebra, Zebra Technologies Canada ULC, a wholly owned subsidiary of Zebra, and Lortron Holding Corporation Ltd., a corporation existing under the laws of Canada (“Lortron”), dated March 14, 2022, pursuant to which Zebra has agreed to acquire all of the outstanding share capital of Matrox Electronic Systems Ltd., a wholly owned subsidiary of Lortron. A copy of the press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
