1. The price reported in Column 4 is a weighted average price. The shares were sold in multiple transactions at prices ranging from $26.85 to $26.93 per share, inclusive. The Reporting Person undertakes to provide to the Issuer, any security holder of the Issuer, or the staff of the Securities and Exchange Commission, upon request, full information regarding the number of shares sold at each separate price within the range set forth in this footnote.

2. Issuable upon the vesting of Restricted Stock Units ("RSUs"). 25% of the shares subject to this RSU grant will vest on May 15, 2024, August 15, 2024, November 15, 2024, and February 15, 2025, provided the Reporting Person continues to serve on the Board of Directors through the applicable vesting date.
