Item 5.02.

Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On February 2, 2022, the Compensation Committee (the “Committee”) of the Board of Directors (the “Board”) of Xperi Holding Corporation (the “Company”) approved, effective March 1, 2022, (i) an increase of base salary for Robert Andersen, Chief Financial Officer of the Company, from $410,000 to $435,000, (ii) an increase of base salary for Geir Skaaden, Chief Product and Services Officer of the Company, from $410,000 to $450,000 and (iii) an increase to the target annual incentive cash bonus of Matt Milne, Chief Revenue Officer of the Company, from 75% to 80% of his base salary.
