Item 5.02 — Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

Departure of Director

Mark A. Alexander, a member of the board of directors (the “Board”) of W. P. Carey Inc. (the “Company”) and a member of the Audit and Compensation Committees, notified the Board of his intention to resign as a member of the Board, effective as of December 12, 2025, for personal health reasons. Mr. Alexander’s resignation did not result from any disagreements with the Company or any matter relating to the Company’s operations, policies or practices.
