Item 8.01 Other Events

On March 25, 2024, The Nasdaq Stock Market LLC (“Nasdaq”) notified vTv Therapeutics, Inc. (the “Company”) that the Company had regained compliance with Nasdaq Listing Rule 5550(b)(2), which requires a listed company's market value of listed securities ("MVLS") to be at or above $35 million (the "MVLS Requirement"). Nasdaq’s notice provided that because the Company had regained compliance with the MVLS Requirement, the listing of the Company’s common stock on the Nasdaq Capital Market would continue.
