Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

Effective October 27, 2022, Danielle De Rosa-Diaz resigned as the registrant’s Chief Financial Officer. The resignation was not due to any disagreements on any matter of accounting principles or practices, or financial statement disclosure. Despite this departure, the registrant expects to file its quarterly report on Form 10-Q covering the quarter ended September 30, 2022 on time.

The registrant is in discussions with a qualified candidate and will announce an appointment of a new chief financial officer at the appropriate time.
