Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On March 26, 2025, upon the recommendation of the Governance and Corporate Responsibility Committee of the Board of Directors (the “Board”) of V.F. Corporation (the “Company”), the Board accepted W. Rodney McMullen’s offer of resignation from the Board and reduced the size of the Board to twelve directors, each effective immediately. The offer of resignation was required by the Company’s Corporate Governance Principles due to a substantial change in Mr. McMullen’s principal occupation.
