Other Events.

On July 20, 2022, Verve Therapeutics, Inc. (the “Company”) delivered a written notice to Jefferies LLC (“Jefferies”) that it was suspending and terminating the prospectus (the “ATM Prospectus”) related to the sale of its common stock, $0.001 par value per share (the “Common Stock”) in an “at-the-market” offering pursuant to the terms of the Open Market Sale Agreement^SM, dated July 1, 2022 (the “Sales Agreement”) by and between the Company and Jefferies. The Company will not make any sales of its Common Stock pursuant to the Sales Agreement unless and until a new prospectus, prospectus supplement or registration statement is filed. The Sales Agreement remains in full force and effect. As of July 20, 2022, the Company had not issued and sold any shares of its Common Stock under the ATM Prospectus.

A copy of the Sales Agreement was filed as Exhibit 1.2 to the Company’s Registration Statement on Form S-3 (333-265996), which was originally filed with the Securities and Exchange Commission on July 1, 2022.
