Item 5.02(b)

On February 7, 2024, John L. Bishop, a member of the Board of Directors (the “Board”) of Veracyte, Inc. (the “Company”), informed the Chair of the Board that he will retire at the end of his current term as director and not stand for reelection at the Company’s 2024 annual meeting of stockholders (the “2024 Annual Meeting”). Mr. Bishop will continue to serve on the Board until his term ends at the 2024 Annual Meeting. The Company thanks Mr. Bishop for all of his valuable contributions over the past ten years and wishes Mr. Bishop well in his retirement.
