Arrangements of Certain Officers.

Katherine Eade resigned from the board of directors of Vaxxinity,

Inc. (the “Company”) on November 30, 2023. Ms. Eade’s

resignation is not the result of a disagreement with the Company on any matter relating to the Company’s operations, policies or

practices. The Company thanks Ms. Eade for her service to the Company.
