Explanation of Responses:

1. This security represents restricted stock units (the "RSUs") granted under the Issuer's 2015 Equity Incentive Plan, as amended. Each RSU represents a contingent right to receive one share of common stock of the Issuer.

2. The RSUs shall vest in five (5) equal annual installments beginning on May 22, 2025, such that the RSUs shall be fully vested on May 22, 2029, subject to the Reporting Person's continued service with the Issuer through each such date.

3. Represents the number of shares withheld to cover the tax withholding obligation in connection with the settlement of vested restricted stock units.

4. This option shall vest and become exercisable in sixty (60) equal monthly installments on the 1st day of each calendar month beginning on June 1, 2024, subject to the Reporting Person's continued service with the Issuer through each such date.
