Item 5.02 - Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.

On October 15, 2024, James W. Swent III resigned from the Board of Directors of Valaris Limited. Following Mr. Swent’s resignation, the Board now comprises six directors and Catherine Hughes has been appointed to the Nominating and Governance Committee to serve as its chair.
