Item 8.01 Other Events.

As previously reported, USA Technologies, Inc. (the “Company”) filed Articles of Amendment to its Amended and Restated Articles of Incorporation with the Pennsylvania Department of State to effect a change of the Company’s name from “USA Technologies, Inc.” to “Cantaloupe, Inc.”, effective as of April 15, 2021 (the “Name Change”).

Effective April 19, 2021 (the “Effective Date”), the Company’s common stock, no par value per share (the “Common Stock”), will trade on the NASDAQ Global Select Market under the ticker symbol “CTLP”. The Name Change resulted in a change to the CUSIP number for the Company’s outstanding shares of Common Stock. The new CUSIP number for the Common Stock is 138103106. Outstanding stock certificates for shares of the Common Stock continue to be valid and need not be exchanged.

In addition, effective on the Effective Date, the Company’s Series A Convertible Preferred Stock, no par value per share (the “Series A Preferred Stock”), will be quoted on the OTC Markets’ Pink Open Market under the trading symbol, “CTLPP”. The Name Change resulted in a change to the CUSIP number for the Company’s outstanding shares of Series A Preferred Stock. The new CUSIP number for the Series A Preferred Stock is 138103205. Outstanding stock certificates for shares of the Series A Preferred Stock continue to be valid and need not be exchanged.
