Item 8.01 Other Events.

On April 28, 2025, UMH Properties, Inc. (the “Company”) was informed of the death of director Kiernan Conway. Mr. Conway served as a distinguished member of the board of directors of the Company since 2022 and will be greatly missed. He served on the nominating and corporate responsibility committee and the retirement plan committee of the board at the time of his death.
