Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

As part of its continuing efforts to streamline operating expenses, on May 29, 2024, UGI Corporation (the “Company”) elected to eliminate the executive position of Chief Human Resources Officer and in connection with the position elimination, Ms. Judy Zagorski will leave the Company on July 1, 2024. Ms. Zagorski’s responsibilities will be assumed by other officers at the Company. Ms. Zagorski is entitled to receive severance benefits set forth in the Company’s Executive Severance Plan in exchange for timely executing and not revoking a general release of claims in favor of the Company.
