Athanor Master Fund, LP (the "Master Fund") and Athanor International Master Fund, LP (the "International Master Fund", and together with the Master Fund, the "Funds") are the direct holders of the securities reported herein. Athanor Capital Partners, LP ("Master GP") is the general partner of the Master Fund. Athanor Capital Partners GP, LLC is the general partner of Master GP. Athanor International Fund GP, LP ("International Master GP") is the general partner of the International Master Fund. Athanor International Fund Ultimate GP, LLC is the general partner of International Master GP. Athanor Capital, LP ("Athanor Capital") is the investment adviser to the Funds. Athanor Capital GP, LLC is the general partner of Athanor Capital. Parvinder Thiara is the managing member of Athanor Capital Partners GP, LLC, Athanor International Fund Ultimate GP, LLC and Athanor Capital GP, LLC.

2. By virtue of the foregoing relationships, Mr. Thiara and each of the entities named in this footnote may be deemed to beneficially own the securities held by the Funds, however each of them disclaims beneficial ownership of such securities, except to the extent of his or its pecuniary interest therein.
