Item 8.01. Other Events.

On May 18, 2021, T. Rowe Price Group, Inc. (the “Company”) issued a press release announcing the entry into a contractual relationship with FIS, through which FIS will assume responsibility for managing technology development and core operations for the Company's retirement recordkeeping business. As part of the transaction about 800 of the Company's operations and technology associates will be offered employment with FIS. The press release is attached as Exhibit 99.1 to this Current Report on Form 8-K, and are incorporated herein by reference.
