Explanation of Responses:

1. Award of RSUs pursuant to the Issuer's Amended and Restated 2015 Long-Term Incentive Plan. Each RSU represents a contingent right to receive one share of the Issuer's common stock upon vesting. The RSUs will vest in three equal annual installments beginning on July 31, 2027.
