Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On April 24, 2023, Dr. Trevor Hallam notified Sutro Biopharma, Inc. (the “Company”) that he will resign from his role as President of Research and Chief Scientific Officer of the Company, effective May 31, 2023. Dr. Hallam’s resignation did not result from any disagreements with management or the board of directors of the Company.
