Item 5.02.

Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On December 1, 2023, Stephen Paradiso resigned from his position as Chief of Staff of Stran & Company, Inc. (the “Company”). Mr. Paradiso’s resignation was not the result of any disagreement with the Company’s operations, policies, or practices. Additionally, as of December 1, 2023, the employment letter agreement between the Company and Mr. Paradiso, dated as of December 13, 2021, was terminated.
