Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On April 13, 2022, Kirsten Lynch notified Stitch Fix, Inc. (the “Company”) of her resignation from the Company’s Board of Directors, effective May 13, 2022. Ms. Lynch is resigning in order to devote her full time and attention to her responsibilities at Vail Resorts, Inc., where she was recently appointed chief executive officer. Her resignation is not the result of any disagreement with the Company on any matter relating to the Company’s operations, policies or practices.
