Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On March 19, 2025, the Executive Compensation Committee of Sterling Bancorp, Inc.’s (the “Company” or “Sterling”) board of directors determined that the requirements for accelerated vesting of all unvested shares of restricted stock have occurred and that the acceleration of the vesting of all unvested shares of restricted stock previously granted to independent directors and certain key employees shall occur on March 19, 2025. The Executive Compensation Committee previously took action to fully accelerate the vesting of all unvested shares of restricted stock previously granted to independent directors and certain key employees on the first day on which all of the following have occurred: (i) the Company has received shareholder approval of the Company’s sale of all of the issued and outstanding shares of capital stock of Sterling Bank and Trust, F.S.B. to EverBank Financial Corp, a Delaware corporation; (ii) all applicable regulatory approvals for the sale transaction have been received; and (iii) all other material closing conditions with respect to the sale transaction, as determined by the Executive Compensation Committee in its sole discretion, have been satisfied.
