Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On June 16, 2023, Lisa L. Troe notified the Board of Directors (the “Board”) and the Corporate Secretary of Stem, Inc. (the “Company”) of her resignation from the Board effective June 30, 2023. Ms. Troe’s decision to resign was not a result of any disagreement with the Company, management or the Board relating to the Company’s financial reporting.
