Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

James J. Frome, 57, was appointed as our President and Chief Operating Officer effective as of January 6, 2022. Mr. Frome served as our Executive Vice President and Chief Operating Officer since August 2012, our Executive Vice President and Chief Strategy Officer from March 2001 to August 2012, and our Vice President of Marketing from July 2000 to March 2001. Archie C. Black, 59, will remain as our Chief Executive Officer but no longer serves as our President.

Neither Mr. Frome, nor Mr. Black, will have a change in compensation due to the changes in title.
