Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On February 13, 2023, Daniel Haley, the Company’s General Counsel and Corporate Secretary, notified the Company of his resignation from such position with the Company, effective March 15, 2023. Jacob Scott, the Company’s Deputy General Counsel & Chief Compliance Officer, will succeed Mr. Haley in the role.
