Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements with Certain Officers.

On September 4, 2025 (the “Effective Date”), Sergey Sherman notified the Board of Directors (the “Board”) of SpringBig Holdings, Inc. (the “Company”) of his resignation as a member of the Board, including its Audit Committee, effective as of the Effective Date. Mr. Sherman’s resignation did not result from any disagreement with the Company on any matter relating to the Company’s operations, policies or practices. As a result of Mr. Sherman’s resignation, the Company’s Audit Committee will be composed of one member. The Company intends to appoint a new independent director to the Audit Committee as soon as practicable.
