(b) Resignation of Director.

On October 12, 2022, Splunk Inc. (the “Company”) filed a Current Report on Form 8-K (the “Original Form 8-K”) with the U.S. Securities and Exchange Commission disclosing that Stephen G. Newberry, a member of the Board of Directors (the “Board”) of the Company, would be stepping down from the Board. This Amendment No. 1 to the Original Form 8-K is being filed by the Company solely to report that Mr. Newberry’s resignation from the Board was effective December 12, 2022. Mr. Newberry’s decision was not due to a disagreement with the Company.
