Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On March 23, 2023, Suzanne Sitherwood notified the Board of Directors (the “Board”) of Spire Inc. of her intent to retire from her position as President and Chief Executive Officer of Spire Inc. effective December 31, 2023. Ms. Sitherwood will also step down from the Board at such time. The Board has launched a formal search process to identify Ms. Sitherwood’s permanent replacement.
