2. Issued upon conversion of restricted stock units, each of which represents a contingent right to receive one share of Issuer common stock.

3. On November 5, 2021, the reporting person was granted restricted stock units for 3.334 shares of common stock vesting in four equal annual installments beginning on October 1, 2022, subject to the grantee's continued service to the Issuer on each vesting date.
