Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On September 27, 2023, Panos Panay informed the Board of Directors (the “Board”) of Sonos, Inc. (the “Company”) of his resignation as a member of the Board and the Audit Committee of the Board, effective immediately. Mr. Panay’s decision to resign results from his acceptance of a new professional opportunity at Amazon.com, Inc. There were no disagreements with the Company on any matter relating to the Company’s operations, policies or practices that led to his resignation.

In connection with Mr. Panay’s resignation, the Board appointed Joanna Coles to serve on its Audit Committee and decreased its size from eight (8) to seven (7) directors.
