Explanation of Responses:

1. In an exempt disposition to the Issuer under Rule 16b-3(e), the Reporting Person remitted shares to the Issuer in connection with the satisfaction of tax withholding obligations arising out of the vesting of restricted stock units ("RSUs").

2. Includes shares represented by RSUs, of which 9,438 settled on March 29, 2024 and were then reduced by the 2,688 shares withheld for taxes as reported on this Form 4.
