(d) On March 19, 2025, our Board of Directors appointed Ms. Peggy Lamb as a member of our Board of Directors and as a member of our Compensation Committee effective March 19, 2025. There is no arrangement or understanding between Ms. Lamb and any other persons pursuant to which Ms. Lamb was appointed as a director. There are no related party transactions between us and Ms. Lamb, and as of the date hereof Ms. Lamb does not own any of our shares of common stock. Ms. Lamb will participate in the compensation arrangements for non-employee directors as described in our Proxy Statement, filed with the Securities and Exchange Commission on April 19, 2024. A copy of the press release announcing the appointment of Ms. Lamb is hereby incorporated by reference and attached hereto as Exhibit 99.1.
