Item 5.02

Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On October 21, 2025, Apratim Purakayastha resigned from his position of GM, Talent Development Solutions of Skillsoft Corp. (the “Company”) to pursue other opportunities, with such resignation effective October 24, 2025. Mr. Purakayastha’s resignation was not due to any disagreement with the Company on any matter relating to its operations, policies or practices.
