Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On February 29, 2024, Jim Norris, Chief Accounting Officer and Treasurer of Sitio Royalties Corp. (the “Company”), notified the Company of his intent to resign effective March 4, 2024. Mr. Norris’ resignation is not the result of any disagreement with the Company on any matter relating to the Company’s financials, operations, policies, or practices. Until a permanent successor is appointed by the Company, Carrie Osicka, the Company’s Chief Financial Officer, has assumed the responsibilities of the Company’s principal accounting officer, effective March 4, 2024. Ms. Osicka’s compensation will not change in connection with her increased responsibilities. Ms. Osicka’s biography and other information required by Item 5.02(c) of Form 8-K are included in the Company’s Schedule 14A filed with the SEC on March 31, 2023, and such information is incorporated herein by reference.
