Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

On December 7, 2025, Patrick C. Edwards, the Senior Vice President, Special Projects and Treasurer of Shoe Carnival, Inc. (the “Company”), and one of the Company’s named executive officers, was appointed to the role of Senior Vice President, Controller and Treasurer of the Company. In connection with his transition to that role, Mr. Edwards’ annual base salary was changed to $325,000.
