Item 8.01 Other Events

As previously disclosed, on October 16, 2024, ShiftPixy, Inc. (the “Company”) entered into a non-binding letter of intent for a potential acquisition of the assets of Turboscale LLC. The Company will no longer be proceeding with this potential acquisition.
