Item 5.03 Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.

On July 23, 2024, Sharps Technology, Inc. (the “Company”) filed a Certificate of Amendment to the Articles of Incorporation with the Secretary of State of Nevada (the “Certificate of Amendment”) to amend the Company’s Articles of Incorporation to increase the total number of authorized shares of common stock of one class, par value $0.0001 (the “Common Stock”) from One Hundred Million (100,000,000) authorized shares of Common Stock to Five Hundred Million (500,000,000) authorized shares of Common Stock, par value $0.0001.
